Terms of Service

Welcome to FormBeep! These Terms of Service (“Terms”) govern your use of FormBeep’s form-to-WhatsApp notification service. By using FormBeep, you agree to these Terms.

Important: Please read these Terms carefully. By creating an account or using FormBeep, you agree to be bound by these Terms and our Privacy Policy.

1. Acceptance of Terms

By accessing or using FormBeep (“Service”), you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Service.

We reserve the right to modify these Terms at any time. We will notify you of material changes via email. Your continued use of the Service after changes constitutes acceptance of the updated Terms.

2. Description of Service

FormBeep is a form-to-WhatsApp notification service that:

  • Receives form submission data from your website
  • Forwards that data to your WhatsApp number in real-time
  • Temporarily stores form data until you view it, then permanently deletes it
  • Provides logs and analytics of form submissions

3. Eligibility

You must be at least 18 years old and have the legal capacity to enter into contracts to use FormBeep. By using the Service, you represent and warrant that you meet these requirements.

4. Account Registration

4.1 Account Creation

To use FormBeep, you must:

  • Create an account with a valid email address
  • Provide a WhatsApp phone number to receive notifications
  • Verify your WhatsApp number via SMS
  • Authorize specific domains to use your API key

4.2 Account Security

You are responsible for:

  • Maintaining the confidentiality of your API key
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized use

Never share your API key publicly or commit it to public repositories.

4.3 Accurate Information

You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

5. Acceptable Use Policy

5.1 Permitted Use

You may use FormBeep to:

  • Receive notifications from contact forms on your websites
  • Forward lead submissions to your WhatsApp
  • Monitor form submissions in real-time

5.2 Prohibited Activities

You may NOT use FormBeep to:

  • Send spam or unsolicited messages
  • Violate any laws or regulations
  • Infringe on intellectual property rights
  • Transmit malware, viruses, or malicious code
  • Harass, abuse, or harm others
  • Collect personal information without consent
  • Reverse engineer or attempt to extract source code
  • Circumvent rate limits or security measures
  • Resell or redistribute the Service without authorization
  • Use the Service for any illegal or fraudulent purpose

5.3 WhatsApp Terms Compliance

You agree to comply with WhatsApp Business Terms of Service and WhatsApp Commerce Policy. Specifically:

  • Do not send unsolicited commercial messages
  • Obtain proper consent before collecting user data
  • Respect user privacy and opt-out requests

6. Subscription Plans and Billing

6.1 Plan Tiers

FormBeep offers multiple subscription tiers:

  • Free: 15 notifications/month, 1 domain, 1 WhatsApp number
  • Starter: 200 notifications/month, 2 domains, 2 WhatsApp numbers
  • Pro: 1,500 notifications/month, 5 domains, 3 WhatsApp numbers
  • Business: 3,000 notifications/month, 10 domains, 10 WhatsApp numbers
  • Agency: 7,000 notifications/month, unlimited domains, unlimited WhatsApp numbers

6.2 Billing

  • Subscriptions are billed monthly or annually in advance
  • All payments are processed securely by Stripe
  • Prices are subject to change with 5 days’ notice
  • You authorize us to charge your payment method for recurring subscription fees

6.3 Plan Limits

  • Message limits reset on the first day of each billing cycle
  • Exceeding limits will result in service suspension until the next cycle or plan upgrade
  • Unused messages do not roll over to the next month

6.4 Refunds

Refunds are handled on a case-by-case basis. To request a refund, contact hello@formbeep.com within 7 days of payment.

6.5 Cancellation

  • You may cancel your subscription at any time from your dashboard
  • Cancellation takes effect at the end of the current billing period
  • You will retain access to paid features until the end of the billing period
  • No refunds for partial months upon cancellation

7. Service Availability and Support

7.1 Uptime

We do not guarantee 100% uptime or uninterrupted service. FormBeep relies on third-party infrastructure, primarily Cloudflare Workers, D1 database, and Meta WhatsApp Business API. Service availability is dependent on these providers.

We strive for high availability but are not liable for any downtime, service interruptions, or degraded performance caused by:

  • Scheduled or emergency maintenance
  • Third-party service outages (Meta WhatsApp, Cloudflare, Stripe, Clerk, etc.)
  • Infrastructure failures or degradation
  • Network connectivity issues
  • Force majeure events
  • Denial of service attacks or other malicious activity

No Uptime SLA: We do not provide any Service Level Agreement (SLA) or uptime guarantees. You acknowledge that service interruptions may occur and we are not liable for any resulting losses.

7.2 Support

  • Free Plan: Community support (email, documentation)
  • Paid Plans: Email support (3 business days response time)
  • Business/Agency Plan: Priority support via email and Discord

8. Data and Privacy

8.1 Data Ownership

You retain all ownership rights to your data. FormBeep does not claim ownership of any content transmitted through the Service.

8.2 Data Processing

FormBeep processes form submission data as a data processor on your behalf. You are the data controller and responsible for:

  • Obtaining proper consent from form submitters
  • Complying with GDPR, CCPA, and other privacy laws
  • Providing privacy notices on your website

8.3 Data Retention

  • Form Data: Stored temporarily until viewed via WhatsApp, then permanently deleted. Any unviewed form data older than 7 days is automatically deleted.
  • Logs Metadata: Retained for 90 days, then auto-deleted
  • Account Data: Retained until account deletion

Important: You are responsible for viewing form submissions within 7 days. We are not liable for any loss of data, business opportunities, or customer communications due to the automatic 7-day deletion policy.

9. Intellectual Property

9.1 FormBeep IP

The Service, including all software, designs, text, graphics, and other content, is owned by FormBeep and protected by copyright, trademark, and other intellectual property laws.

9.2 Limited License

We grant you a limited, non-exclusive, non-transferable license to use the Service for its intended purpose. You may not:

  • Copy, modify, or create derivative works
  • Reverse engineer or decompile the Service
  • Remove or alter any proprietary notices

9.3 Embed Script

The FormBeep embed script may be used freely on websites associated with your account. You may not redistribute the embed script as a standalone product.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

We disclaim all warranties, including but not limited to:

  • Merchantability
  • Fitness for a particular purpose
  • Non-infringement
  • Uninterrupted, timely, secure, or error-free operation
  • Accuracy, reliability, or completeness of results
  • That form submissions will always be delivered successfully
  • That the Service will be available at any particular time
  • That data will not be lost or deleted
  • That third-party services (Cloudflare, WhatsApp, etc.) will function properly

You use FormBeep at your own risk. We do not warrant that the Service will meet your requirements or business needs.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FORMBEEP SHALL NOT BE LIABLE FOR ANY:

  • Indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, business, data, customers, or opportunities
  • Lost or deleted form submissions (including automatic 7-day deletion)
  • Business interruption or downtime
  • Missed leads, sales, or customer communications
  • Damages arising from third-party services (WhatsApp, Cloudflare, Stripe, Clerk, etc.)
  • Service unavailability, degradation, or interruption
  • Data loss due to infrastructure failures
  • Delayed or failed message delivery
  • Errors, bugs, or defects in the Service

FormBeep is dependent on third-party infrastructure (Cloudflare, Meta WhatsApp, etc.) over which we have no control. We are not liable for any failures, outages, or issues caused by these third parties.

Our total liability to you for any claims arising from the Service shall not exceed the lesser of: (a) the amount you paid us in the 12 months prior to the claim, or (b) $100 USD.

12. Indemnification

You agree to indemnify, defend, and hold harmless FormBeep, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Content you submit through the Service

13. Termination

13.1 Termination by You

You may terminate your account at any time from the dashboard. Upon termination:

  • Your API key is immediately revoked
  • Your account data is deleted within 30 days
  • Logs metadata is retained for 90 days per our retention policy

13.2 Termination by Us

We may suspend or terminate your account if:

  • You violate these Terms
  • Your payment fails
  • You engage in fraudulent activity
  • We are required to do so by law

We will provide notice before termination unless immediate action is required for security or legal reasons.

14. Third-Party Services

FormBeep is entirely dependent on third-party infrastructure and services. The Service runs on:

  • Cloudflare Workers (compute platform)
  • Cloudflare D1 (database)
  • Cloudflare KV (rate limiting)
  • Meta WhatsApp Business API (message delivery)
  • Clerk (authentication)
  • Stripe (payment processing)

Your use of FormBeep is subject to the terms, availability, and performance of these third-party services. We have no control over these services and are not responsible for:

  • Third-party service outages, downtime, or degradation
  • Changes to third-party terms, pricing, or features
  • Third-party data breaches or security incidents
  • Discontinuation of any third-party service

If any critical third-party service becomes unavailable or changes in a way that makes FormBeep inoperable, we may be forced to modify or discontinue the Service with limited notice.

15. Changes to the Service

We reserve the right to:

  • Modify or discontinue features
  • Change pricing with 5 days’ notice
  • Update technical requirements

Material changes will be communicated via email.

16. Business Sustainability and Economic Viability

FormBeep is a small, independent business subject to market forces and third-party pricing changes beyond our control. We reserve the right to take the following actions at any time to maintain business viability:

16.1 Price Adjustments

If third-party costs (particularly Meta WhatsApp Business API pricing) increase or business economics change, we may:

  • Increase plan prices with 5 days’ notice
  • Add usage-based fees or surcharges
  • Change plan limits or features to reflect economic realities
  • Require existing customers to accept new pricing to continue service

You acknowledge that WhatsApp API pricing is controlled by Meta and may change at any time. We cannot absorb indefinite cost increases and must pass them to customers to remain viable.

16.2 Free Plan Modifications

If free plan usage becomes unsustainable, we may:

  • Stop accepting new free plan signups (existing free users may be grandfathered)
  • Convert free plans to paid-only service
  • Reduce free plan limits (messages, domains, features)
  • Cancel free accounts entirely with 14 days’ notice if the free tier is no longer economically viable

Free accounts are provided at our discretion and may be discontinued at any time.

16.3 Cancellation of Unprofitable Accounts

If specific paid accounts become unprofitable due to:

  • Excessive support burden
  • Abuse or violation of fair use policies
  • Changes in third-party pricing making the account economics unsustainable
  • Technical issues requiring disproportionate resources

We may cancel such accounts with 5 days’ notice and provide a prorated refund for any unused portion of the current billing period.

Prorated Refund Calculation: Refund = (Monthly or Annual Fee) × (Days Remaining / Total Days in Billing Period)

16.4 Service Discontinuation

If FormBeep becomes economically unviable or if critical third-party services (WhatsApp API, Cloudflare, etc.) become unavailable or prohibitively expensive, we may:

  • Discontinue the Service entirely with 60 days’ notice
  • Provide prorated refunds for all active paid subscriptions
  • Assist with data export during the wind-down period

You acknowledge that FormBeep may cease operations at any time, and we are not liable for any business disruption, lost revenue, or other damages resulting from service discontinuation.

16.5 No Guarantee of Continued Service

We make no guarantee that FormBeep will continue to operate indefinitely. This is an independent software business subject to economic realities. By using the Service, you accept the risk that it may be modified, become more expensive, or cease operations.

17. Governing Law and Dispute Resolution

17.1 Governing Law

These Terms are governed by the laws of the United Arab Emirates, without regard to conflict of law principles.

17.2 Dispute Resolution

Any disputes arising from these Terms or the Service shall be resolved through:

  1. Informal Negotiation: Contact us at hello@formbeep.com to resolve informally
  2. Mediation: If negotiation fails, we agree to mediation
  3. Binding Arbitration: If mediation fails, binding arbitration in the United Arab Emirates

17.3 Class Action Waiver

You agree to resolve disputes individually and waive any right to participate in class actions or class arbitrations.

18. General Provisions

18.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and FormBeep.

18.2 Severability

If any provision of these Terms is found invalid or unenforceable, the remaining provisions remain in full effect.

18.3 No Waiver

Our failure to enforce any right or provision does not constitute a waiver of that right or provision.

18.4 Assignment

You may not assign or transfer these Terms without our written consent. We may assign these Terms without restriction.

18.5 Force Majeure

We are not liable for delays or failures due to events beyond our reasonable control (natural disasters, strikes, government actions, etc.).
